Terms of Service

The agreement between you and TagTalk when you use the service.

Please review with counsel. These Terms have been tailored to how TagTalk actually works today โ€” Stripe billing in US Dollars, a 14-day free trial that auto-renews at $9.99/month, teacher packages where instructors keep 100%, and payouts through Stripe Connect. They are still not legal advice; because you have live users and process payments, please have a qualified lawyer review them before relying on them.

1. About these Terms

TagTalk (“TagTalk,” “we,” “us,” or “our”) is operated by Inverse, LLC, a Virginia limited liability company with its principal address at PO Box 444, Richmond, Virginia 23218, USA (the “Company”). These Terms of Service (“Terms”) form a binding agreement between you and the Company and govern your access to and use of the TagTalk websites, apps, and services (together, the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

New users may access AI conversation practice and grammar corrections during a trial period when offered. After the trial, AI conversation practice, grammar corrections, journals with human review, personalized lessons, progress reports, and messaging or connecting with instructors require a paid membership. We may add, change, or remove features over time.

6. Payment processing (Stripe)

Payments are processed by our third-party payment provider, Stripe. By providing a payment method, you authorize the Company and Stripe to charge it for your membership, any teacher packages you purchase, and any applicable taxes and fees, on a recurring basis until you cancel. We do not store full payment card numbers; card data is handled by Stripe. Your payments are also subject to Stripe's own terms and privacy policy.

7. Failed payments

If a payment fails, we may retry the charge and mark your account past-due, and premium access may be suspended until payment succeeds. You remain responsible for amounts owed.

8. Refunds

Except where a refund is required by applicable law, payments are non-refundable and we do not refund partial or unused subscription periods. We may grant refunds at our sole discretion. To request a refund or raise a billing concern, contact hello@tagtalk.ph. If we refund a payment made for a teacher package, the refunded amount may be deducted from the relevant instructor's available balance or future payouts (see Section 10).

This section applies to instructors who earn money on TagTalk.

11. Chargebacks & disputes

If you have a billing concern, please contact us before disputing a charge with your bank so we can try to resolve it. Initiating a chargeback for a legitimate charge may result in suspension of your account. For teacher packages, any refund or chargeback is deducted from the relevant instructor's earnings.

12. Acceptable use

You agree not to misuse the Service, including by: violating any law; harassing, abusing, or harming others; uploading harmful, infringing, or unlawful content; impersonating others; attempting to disrupt, reverse-engineer, or gain unauthorized access to the Service; or using it to send spam. We may suspend or terminate accounts that violate these Terms.

13. Your content

You retain ownership of the content you create (chats, journals, recordings, and messages). You grant the Company a limited, worldwide, royalty-free license to host, store, process, and display your content as needed to operate and improve the Service, including processing by third-party AI providers to generate feedback and lessons. You are responsible for the content you share and confirm you have the rights to share it.

14. AI and educational disclaimer

TagTalk uses artificial intelligence to assist learning. AI-generated corrections, lessons, and translations may be inaccurate or incomplete and are provided for educational purposes only. They are not professional or authoritative translation, and the Company does not guarantee any particular learning outcome or level of fluency.

15. Third-party services

The Service relies on third parties, including Stripe (payments and payouts) and AI providers (to generate feedback and lessons). Your use of the Service may be subject to those providers' terms and policies.

16. Intellectual property

The TagTalk name, logo, software, and design system are owned by the Company and protected by law. These Terms do not grant you any right to use our branding without our prior written permission.

17. Disclaimers & limitation of liability

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, to the fullest extent permitted by law. The Company is not responsible for the acts, omissions, services, or conduct of instructors or other users. To the maximum extent permitted by law, the Company will not be liable for indirect, incidental, special, consequential, or punitive damages, and the Company's total liability arising out of or relating to the Service will not exceed the greater of the amount you paid the Company in the 12 months before the event giving rise to the claim, or US$100. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

18. Indemnification

You agree to indemnify and hold the Company harmless from claims, damages, and expenses (including reasonable legal fees) arising out of your use of the Service, your content, or your violation of these Terms or applicable law.

19. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms or where necessary to protect the Service, other users, or the Company. Sections that by their nature should survive termination (including payment obligations, disclaimers, limitation of liability, and dispute terms) will survive.

20. Governing law & disputes

These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict-of-laws rules. You and the Company agree that the state and federal courts located in Richmond, Virginia will have exclusive jurisdiction over any dispute not subject to another agreed process, and you consent to their jurisdiction and venue. Nothing in these Terms removes mandatory consumer-protection rights you may have under the laws of your country of residence.

21. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email or an in-app notice). Your continued use of the Service after changes take effect means you accept the updated Terms.
