Terms of Service

1. About these Terms

TagTalk (“TagTalk,” “we,” “us,” or “our”) is operated by Inverse, LLC, a Virginia limited liability company with its principal address at PO Box 444, Richmond, Virginia 23218, USA (the “Company”). These Terms of Service (“Terms”) form a binding agreement between you and the Company and govern your access to and use of the TagTalk websites, apps, and services (together, the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility & your account

• Trial access, including AI conversation practice, is available to users aged 13 and older.
• To purchase a membership or a teacher package, to make any payment, or to receive instructor payouts, you must be at least 18 years old and able to form a binding contract. Users aged 13–17 may use only trial or non-paid features, with the consent and supervision of a parent or guardian where required by law.
• You agree to provide accurate account information, to keep your login credentials secure, and that you are responsible for all activity under your account. Notify us promptly of any unauthorized use.

3. The Service; free and premium features

New users may access AI conversation practice and grammar corrections during a trial period when offered. After the trial, AI conversation practice, grammar corrections, journals with human review, personalized lessons, progress reports, and messaging or connecting with instructors require a paid membership. We may add, change, or remove features over time.

4. Membership, free trial & automatic renewal

• The premium membership costs US$9.99 per month. New members may be offered a 14-day free trial. A valid payment method may be required to begin a trial or membership.
• Automatic renewal — please read. Unless you cancel, your membership renews automatically at the end of each period and your payment method is charged US$9.99 (plus any applicable taxes) each month until you cancel. If you start a free trial and do not cancel before it ends, it converts into a paid, auto-renewing membership.
• Cancellation. You may cancel at any time — including during your free trial — from your account settings. Cancellation stops future charges; it takes effect at the end of the current trial or paid period, and you keep premium access until then.
• Except as stated in Section 8 (Refunds) or as required by law, we do not refund fees already charged, including for partial or unused periods.

5. Prices, currency & taxes

• All prices are stated and charged in US Dollars (USD). If your card or bank account is denominated in another currency, your bank or card issuer may apply currency-conversion or foreign-transaction fees, which are your responsibility.
• Prices may be exclusive of taxes. You are responsible for any applicable taxes, and we may collect and remit taxes (such as VAT or GST) where we are required to do so.
• We may change prices from time to time. We will give reasonable advance notice, and changes will apply to renewals occurring after the notice period.

6. Payment processing (Stripe)

Payments are processed by our third-party payment provider, Stripe. By providing a payment method, you authorize the Company and Stripe to charge it for your membership, any teacher packages you purchase, and any applicable taxes and fees, on a recurring basis until you cancel. We do not store full payment card numbers; card data is handled by Stripe. Your payments are also subject to Stripe's own terms and privacy policy.

7. Failed payments

If a payment fails, we may retry the charge and mark your account past-due, and premium access may be suspended until payment succeeds. You remain responsible for amounts owed.

8. Refunds

Except where a refund is required by applicable law, payments are non-refundable and we do not refund partial or unused subscription periods. We may grant refunds at our sole discretion. To request a refund or raise a billing concern, contact hello@tagtalk.ph. If we refund a payment made for a teacher package, the refunded amount may be deducted from the relevant instructor's available balance or future payouts (see Section 10).

9. Teacher packages & the instructor marketplace

• Instructors are independent third parties. They are not employees, partners, or agents of the Company, and nothing in these Terms creates an employment, agency, or joint-venture relationship.
• Instructors set their own packages, deliverables, prices, and billing cycle (weekly or monthly). When you subscribe to a package, you enter into a direct arrangement with that instructor for their services. A package subscription is separate from your membership and renews automatically until cancelled.
• The Company facilitates these transactions and collects payment on the instructor's behalf through Stripe, but the Company is not the provider of instructor services and does not guarantee any instructor's quality, availability, conduct, or results. Disputes about an instructor's services are primarily between the student and the instructor, though we may help where we reasonably can.

10. Instructor payouts & withdrawals

This section applies to instructors who earn money on TagTalk.

• You keep 100%. Instructors receive 100% of the package price paid by their students; the Company charges no commission on package payments. The Company bears standard Stripe payment-processing fees. Bank fees and currency-conversion fees applied on withdrawal by Stripe or your bank are your responsibility.
• Payout setup & verification. To receive payouts you must complete Stripe Connect onboarding, including identity verification (KYC), and accept the Stripe Connected Account Agreement. We may withhold payouts until verification is complete and may decline or suspend payout access as required by Stripe or law.
• When funds become available. Amounts you earn from a package become available for withdrawal only after the relevant service period has completed. A minimum available balance of US$25.00 is required to withdraw. Payouts are sent through Stripe to your connected bank account.
• Holds, reversals & offsets. The Company and/or Stripe may hold, delay, offset, or reverse payouts to cover refunds, chargebacks, disputes, negative balances, or suspected fraud, and may recover any amounts you owe from your current or future earnings.
• Taxes. Instructors are solely responsible for reporting and paying all taxes on amounts they earn. The Company does not withhold taxes on your behalf.
• Your obligations. Instructors must deliver the deliverables described in their packages, communicate honestly with students, and comply with these Terms and all applicable laws.

11. Chargebacks & disputes

If you have a billing concern, please contact us before disputing a charge with your bank so we can try to resolve it. Initiating a chargeback for a legitimate charge may result in suspension of your account. For teacher packages, any refund or chargeback is deducted from the relevant instructor's earnings.

12. Acceptable use

You agree not to misuse the Service, including by: violating any law; harassing, abusing, or harming others; uploading harmful, infringing, or unlawful content; impersonating others; attempting to disrupt, reverse-engineer, or gain unauthorized access to the Service; or using it to send spam. We may suspend or terminate accounts that violate these Terms.

13. Your content

You retain ownership of the content you create (chats, journals, recordings, and messages). You grant the Company a limited, worldwide, royalty-free license to host, store, process, and display your content as needed to operate and improve the Service, including processing by third-party AI providers to generate feedback and lessons. You are responsible for the content you share and confirm you have the rights to share it.

14. AI and educational disclaimer

TagTalk uses artificial intelligence to assist learning. AI-generated corrections, lessons, and translations may be inaccurate or incomplete and are provided for educational purposes only. They are not professional or authoritative translation, and the Company does not guarantee any particular learning outcome or level of fluency.

15. Third-party services

The Service relies on third parties, including Stripe (payments and payouts) and AI providers (to generate feedback and lessons). Your use of the Service may be subject to those providers' terms and policies.

16. Intellectual property

The TagTalk name, logo, software, and design system are owned by the Company and protected by law. These Terms do not grant you any right to use our branding without our prior written permission.

17. Disclaimers & limitation of liability

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, to the fullest extent permitted by law. The Company is not responsible for the acts, omissions, services, or conduct of instructors or other users. To the maximum extent permitted by law, the Company will not be liable for indirect, incidental, special, consequential, or punitive damages, and the Company's total liability arising out of or relating to the Service will not exceed the greater of the amount you paid the Company in the 12 months before the event giving rise to the claim, or US$100. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

18. Indemnification

You agree to indemnify and hold the Company harmless from claims, damages, and expenses (including reasonable legal fees) arising out of your use of the Service, your content, or your violation of these Terms or applicable law.

19. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms or where necessary to protect the Service, other users, or the Company. Sections that by their nature should survive termination (including payment obligations, disclaimers, limitation of liability, and dispute terms) will survive.

20. Governing law & disputes

These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict-of-laws rules. You and the Company agree that the state and federal courts located in Richmond, Virginia will have exclusive jurisdiction over any dispute not subject to another agreed process, and you consent to their jurisdiction and venue. Nothing in these Terms removes mandatory consumer-protection rights you may have under the laws of your country of residence.

21. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email or an in-app notice). Your continued use of the Service after changes take effect means you accept the updated Terms.
